In-house counsel are being urged to shift from reactive gatekeepers to proactive advisors as Artificial Intelligence becomes embedded across business functions. A practical governance strategy starts with understanding the different forms of Artificial Intelligence and their legal risk profiles. Automation is presented as the most basic category, handling rule-based tasks such as workflow approvals, data entry, and chatbots, with relatively limited legal exposure. Generative Artificial Intelligence introduces more significant concerns, including intellectual property infringement, factual errors, privacy violations, confidentiality breaches, and hallucinated outputs. Agentic Artificial Intelligence raises the stakes further because it can autonomously pursue goals, make decisions, execute plans, and adapt with minimal human intervention, creating added questions around delegation of authority, legal agency, and accountability.
The regulatory environment is described as fragmented and fast-moving, with no single global standard. The European Union’s AI Act stands out as the most comprehensive framework, applying a risk-based model across sectors and classifying systems as Unacceptable, High, Limited, or Minimal Risk. The UK is pursuing a pro-innovation, context-based approach that relies on existing regulators rather than new Artificial Intelligence laws. China is focused on state-led oversight, emphasizing algorithmic transparency, content moderation, and explicit consent, with enforcement led by the Cyberspace Administration of China. In the United States, the approach varies by state, with California, Colorado and Illinois moving ahead on privacy and automated decision-making rules, while federal agencies such as the FTC and EEOC are enforcing existing law. Benchmarking internal governance against the strictest applicable standards is presented as the most defensible path, and that standard will most likely be the EU AI Act.
Several common regulatory themes are emerging across jurisdictions. Transparency is becoming a core principle, including labeling obligations for deep fakes and scrutiny of deceptive advertising practices. Fairness and non-discrimination are also central, especially for high-risk use cases such as hiring and resume screening. Accountability is a regulatory theme, which in the EU, requires formal risk management systems for Artificial Intelligence classified as having a higher risk profile. In the US, the National Institute of Standards and Technology created a risk management framework for Artificial Intelligence. Human oversight is another major principle, with requirements in some jurisdictions that people be able to intervene in or review Artificial Intelligence outputs before they are relied upon or published. Data privacy remains a foundational concern even where Artificial Intelligence-specific rules are still developing.
The legal risks for organizations are broad and immediate. Jurisdictional compliance is difficult because of the patchwork of rules, while intellectual property law remains unsettled for works generated solely by Artificial Intelligence or modified through it. Use of public-facing tools can expose sensitive personal information, draft patent applications, trade secrets, and other confidential material. Algorithmic bias can amplify discrimination if underlying training data reflects historic inequities, as illustrated by Amazon’s abandoned internal recruiting tool. Contracts are also lagging behind the technology, with standard SaaS agreements often failing to allocate risk for Artificial Intelligence-generated errors, infringement, or misuse of data. Lawyers face additional professional obligations under competence and confidentiality rules, making verification and human review essential whenever Artificial Intelligence tools are used in legal work.
